Terms of Service
These Terms of Service (“Terms”) govern your use of Calecta, operated by Calecta, LLC. By creating an account or otherwise using the service, you agree to these Terms. If you don't agree, don't use Calecta.
1. The Service
Calectais a curated discovery platform for retail brands. Members build “streets” — collections of storefronts they love — and can browse streets curated by others. Outbound clicks to vendor websites may be tracked through affiliate networks; see our Affiliate Disclosure.
2. Eligibility
You must be at least 13 years old to use Calecta. If you are between 13 and 18 (or the age of majority in your jurisdiction), you may only use Calecta with the consent and supervision of a parent or guardian.
3. Accounts
3.1 Creation
You can create an account with an email address or via a supported OAuth provider. You're responsible for keeping your login credentials secure and for everything that happens under your account.
3.2 Accurate information
Provide accurate information when signing up and keep it current. Don't impersonate anyone else.
3.3 Suspension and termination
We may suspend or terminate accounts that violate these Terms, with or without notice depending on severity. You may delete your account at any time from settings or by emailing admin@calecta.app.
4. Your content
4.1 Ownership
You own the content you create on Calecta — the streets you curate, the cover photos you upload, the descriptions you write. You retain all rights in your content.
4.2 License to Calecta
To operate the service, you grant Calecta, LLC a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute your content as needed to provide the service to you and to others you've shared with (e.g. displaying your public streets to logged-out visitors, showing your storefronts to other members). This license ends when you delete your content, except for copies retained for backup or legal compliance.
4.3 Your responsibility
You're responsible for ensuring your content (a) doesn't violate any third-party rights, (b) isn't unlawful, harassing, defamatory, or harmful, and (c) complies with these Terms.
5. Our content
The Calecta platform — including the vendor catalog, storefront illustrations, the curated iconic streets, the design system, and all software — is owned by Calecta, LLC or licensed to us. Brand names, trademarks, and logos displayed in our catalog belong to the respective brands; we display them for editorial reference and direct the user to the brand's own website for purchase.
6. Acceptable use
You agree not to:
- scrape, crawl, or programmatically extract data from Calecta other than through documented public APIs (we don't currently publish any);
- attempt to reverse-engineer, decompile, or otherwise extract source code from the service;
- interfere with or disrupt the service, our infrastructure, or other users' use;
- post, link to, or promote content that is unlawful, hateful, defamatory, infringing, or sexually explicit;
- use Calecta for spam, phishing, or impersonation;
- circumvent or attempt to circumvent access controls (e.g. accessing admin features without authorization);
- use the service to compete with Calecta, LLC by replicating its catalog, designs, or curation.
7. Affiliate links and third-party websites
Calecta earns commissions on some outbound clicks. We disclose this in our Affiliate Disclosure. Brand websites we link to are operated by the brands themselves, not by us. We're not responsible for the content, availability, accuracy, pricing, or practices of any third-party site, and your use of those sites is governed by their own terms and privacy policies.
8. Privacy
Our handling of your data is described in our Privacy Policy, which is incorporated into these Terms by reference.
9. Changes to the service or these Terms
We may change, suspend, or discontinue parts of the service at any time. We may also update these Terms; when we do, we'll post the revised version at this URL and update the “Last updated” date. For material changes affecting your rights or obligations, we'll notify you by email or a prominent in-app notice. Continued use of the service after a material change constitutes acceptance of the revised Terms.
10. Disclaimers
Calectais provided “as is” and “as available.” To the maximum extent permitted by law, Calecta, LLC disclaims all warranties — express or implied — including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted availability. We don't guarantee that any vendor listed in our catalog will fulfill an order, that prices shown on third-party sites are accurate, or that any product is suitable for your purpose.
11. Limitation of liability
To the maximum extent permitted by law, in no event will Calecta, LLC, its officers, employees, or affiliates be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, goodwill, data, or other intangible losses — arising out of or in connection with your use of the service. Our total cumulative liability to you for all claims arising from these Terms or the service will not exceed the greater of (a) one hundred US dollars (US$100) or (b) the amount you paid us in the twelve months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Calecta, LLC, its officers, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of (a) your use of the service, (b) your content, (c) your violation of these Terms, or (d) your violation of any third-party rights.
13. Dispute resolution and arbitration
Please read this section carefully. It affects your legal rights. It requires you and Calecta, LLC to resolve most disputes through binding individual arbitration, not in court, and it waives your right to participate in a class action.
13.1 Informal resolution first
Before filing a formal claim, please contact us at admin@calecta.app with a description of the dispute. We'll try to resolve it informally within 60 days.
13.2 Binding arbitration
If we can't resolve a dispute informally, you and Calecta, LLC agree to resolve it through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in Los Angeles, California (or another mutually agreed venue, or by video conference if the amount in dispute is under US$10,000). The arbitrator's decision is final and may be enforced by any court of competent jurisdiction.
13.3 Class action waiver
You and Calecta, LLC agree that any dispute will be arbitrated on an individual basis only. Neither of us may bring a claim as a plaintiff or class member in any purported class, collective, or representative proceeding. If this class-action waiver is found unenforceable, the entire arbitration agreement in this Section 13 is void, and any dispute must be resolved in court under Section 14.
13.4 Exceptions
Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction. Either party may also seek injunctive or other equitable relief in court for infringement of intellectual property rights.
13.5 Opt out
You may opt out of the arbitration agreement in Section 13 by emailing admin@calecta.app within 30 days of first accepting these Terms, with the subject line “Arbitration Opt-Out” and your account email in the body. Opting out does not affect any other part of these Terms.
14. Governing law and venue
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. Any dispute not subject to arbitration under Section 13 will be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to personal jurisdiction in those courts.
15. Severability and waiver
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver of our right to do so later.
16. Entire agreement
These Terms — together with the Privacy Policy, Affiliate Disclosure, Cookies Policy, and IP & DMCA Policy — make up the entire agreement between you and Calecta, LLCregarding the service.
